These Terms of Service (“Terms”) are an agreement between you and DaKine Directory (“the Company”, “we”, “us”, or “our”), located at 243 Kuleana Loop, Hilo, HI 96720. They govern your access to and use of the DaKine Directory website, mobile applications, and related services (together, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
DaKine Directory is a local business directory for Hawaiʻi. It lets visitors discover local businesses, food trucks, farm stands, makers, events, and neighborhood happenings, and lets business owners create and manage listings, post updates, and promote their businesses.
2. Eligibility & Accounts
You must be at least 16 years old to use the Service. When you create an account, you agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Business Listings
If you create or manage a business listing, you represent that you are authorized to act on behalf of that business and that the information you provide is accurate and not misleading. Listings are reviewed and must be approved before they appear publicly. We may edit, decline, suspend, or remove any listing at our discretion, including listings that are inaccurate, misleading, unlawful, or that violate these Terms.
4. Community Events
Anyone may submit an event to the community calendar. Submitted events are reviewed and must be approved by an administrator before they appear publicly. You are responsible for the accuracy of any event you submit, and you must have the right to promote it. We may decline or remove any event submission at our discretion.
5. Subscriptions & Billing
Certain features, such as Featured listings, are offered as paid subscriptions. Prices and features are described at the point of purchase. Payments are processed by our third-party payment processor (Stripe); we do not store your payment card details. Subscriptions renew automatically until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.
6. Social Media Cross-Posting
The Service offers an optional feature that lets business owners connect their own third-party social media accounts (such as Facebook, Instagram, or TikTok) and publish their DaKine Directory updates to those accounts. By connecting an account, you authorize us to publish content you create to the account(s) you select, on your behalf, until you disconnect them.
- You are solely responsible for the content you choose to publish and for ensuring it complies with the terms and policies of each connected platform.
- You may disconnect a connected account at any time from your owner dashboard, which revokes our access.
- Your use of each third-party platform remains subject to that platform’s own terms and policies. We are not responsible for the availability or behavior of third-party platforms, and access may change or be withdrawn by those platforms at any time.
- We access and use third-party account data only to provide this feature, and we handle it in accordance with our Privacy Policy.
7. Your Content
You retain ownership of the content you submit to the Service (listings, photos, updates, events). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content for the purpose of operating and promoting the Service, including publishing it to third-party platforms you have connected. You represent that you own or have the necessary rights to the content you submit and that it does not infringe the rights of others.
8. Acceptable Use
You agree not to:
- Post content that is unlawful, fraudulent, deceptive, defamatory, obscene, or infringing;
- Impersonate any person or business, or misrepresent your affiliation with any person or business;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
- Use the Service to send spam or to harvest information about other users;
- Use the Service in any way that violates applicable law or the rights of others.
9. Intellectual Property
The Service, including its design, software, and branding, is owned by the Company and protected by intellectual property laws. Except for content you submit, you may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written permission.
10. Third-Party Services
The Service integrates with and links to third-party services (for example, payment processors, mapping providers, and social media platforms). We are not responsible for the content, policies, or practices of third-party services, and your use of them is governed by their respective terms.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information (including business listings and events) is accurate, complete, or current. Your use of the Service is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us, if any, in the twelve months before the claim arose.
13. Termination
You may stop using the Service at any time and may delete your account from within the Service. We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.
14. Governing Law
These Terms are governed by the laws of the State of Hawaiʻi, United States, without regard to its conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Hawaiʻi.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may also be communicated by email or a notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
